Tinh Van Group Successfully Holds 2020 Annual General Meeting of Shareholders

This morning, on June 19, 2020, at the headquarters of Tinh Van Technology Joint Stock Company (Tinh Van Group), the 2020 Annual General Meeting of Shareholders (AGM) was successfully held.
Attending the AGM were members of the Board of Directors, the Supervisory Board, the Management Board, shareholders, and legal representatives of shareholders, representing over 95% of total voting shares.
After the opening remarks, Mr. Hoang To – Chairman of the Board of Directors and General Director of Tinh Van Group – reported to the General Meeting of Shareholders on the activities of the Board of Directors in 2019, as well as the objectives and operational plans for 2020.
In 2019, Vietnam's socio-economy experienced slow growth, with GDP growth maintaining a positive state thanks to momentum from the private sector and FDI sector, despite a complex global economic context. In that context, Tinh Van Group also made new strides in both technology and governance. 2019 was also an important year, marking 25 years of formation and development of Tinh Van Group. The series of events celebrating the 25th anniversary, along with the book "Tinh Van Chronicles: A Quarter Century of Shining Together," fostered cohesion among Tinh Van members. With the participation of TIS, a series of work streams were deployed simultaneously. The Steering Committee for business cooperation between TIS and Tinh Van Group met regularly and periodically, and there have been many effective collaborative activities with Tinh Van in general and Tinh Van Japan in particular.
Entering 2020, to implement the resolutions of the Board of Directors at the Strategic Conference in September 2019, Tinh Van carried out organizational restructuring by merging Tinh Van Banking and Finance Software Joint Stock Company into Tinh Van Technology Joint Stock Company (TVH) to form the TVS Government Solutions Center (Tinh Van Solutions); merging Tinh Van Education Joint Stock Company into TVH to form the TVE Education Solutions Center (Tinh Van Education); merging TVLab and TVHCM to become the TVD Enterprise Digital Transformation Center (Tinh Van Digital Transformation for Enterprise). Assessing that Vietnam's economic situation will present new opportunities in 2020, but also needing to cope with the global recession affecting Vietnam, the Board of Directors of Tinh Van Group set new business targets for 2020 for each member unit, based on criteria of signed sales, invoiced revenue, and profit before tax.
Next was the report on the activities of the Management Board presented by Deputy General Director Pham Thi Thu Hang. Ms. Hang also read to the General Meeting of Shareholders the audited financial report and the plan for using 2019 profits.
The report on the activities of the Supervisory Board was presented by Mr. Phan Quang Minh – Head of the Supervisory Board.
At the conclusion of the meeting, the attending shareholders voted to approve the reports and proposals of the Board of Directors and the Management Board. The 2020 Annual General Meeting of Shareholders of Tinh Van Group concluded successfully.
